Cape Fear Modern Quilt Guild By-Laws
Article 1 – Name
The Cape Fear Modern Quilt Guild also known as the CFMQG.
Article 2 –Purpose
CFMQG encourage members’ skill development and educate the community in contemporary quilting techniques. This guild is a non-profit organization.
Article 3 –Membership
Section a. Open to anyone upon payment of dues for the membership year, September 1 to August 31. Dues are payable by the September CFQG meeting.
Section b. Guest Policy: CFMQG welcomes and encourages guests. After two visits during the membership year, individuals must join the guild into order to participate.
Article 4 – Executive Board
Section a. Consists of four officers: President, Vice President, Secretary, Treasurer plus committee chairpersons. Members elect officers at the August meeting. Elected officers must be members in good standing. Standing committees are: Programs, Membership, and Webmaster.
Section b. The President appoints the Nominating/Election Committee (at least 2 members) in May. The Nominating Committee Chairperson coordinates committee communication and oversees the nomination process.
The Nominating/ Election Committee:
- solicits suggestions for the slate of officers
- secures acceptance from each nominee.
- presents nominees to the membership in July
- prepares silent vote ballots, if needed
- counts votes and announces results in August
A majority vote by members present at the August meeting determines the new Executive Board.
Section c. New officers assume duties following the August meeting. Elected officers serve one year terms and no more than two consecutive terms in the same office.
Section d. The President appoints willing members to fill vacant unexpired terms of office.
Article 5 –Duties of Officers
Section a. The President
- conducts regular monthly meetings
- conducts Executive Board meetings
- solicits and appoints committee chairpersons
- attends committee meetings, as needed
- signs checks along with the Treasurer
- appoints member(s) to review and validate the Treasurer’s Report in March and August, prior to budget submission.
Section b. The Vice President
- assists the President, as needed
- presides over meetings in the President’s absence.
Section c. The Secretary
- keeps minutes of all monthly and Executive Board meetings
- maintains permanent records of such meetings
- maintains detailed records of all guild legislative activity concerning CFMQG by-laws
- prepares CFMQG correspondence
- works closely with the Webmaster
Section d. The Treasurer
- receives and banks all CFMQG monies
- disburses funds as authorized by the Executive Board
- maintains records of all funds
- provides a brief financial report at each monthly meeting
- pays all authorized expenses; items over $100 require Executive Board approval
- ensures Executive Board approves any expense in excess of the Operating Budget
- prepares a proposed annual budget for Executive Board approval
- presents proposed budget for the new fiscal year at the September meeting.
- signs checks; along with the President
Article 6 –Committees
Board-approved committees establish and manage CFMQG activities. The Board approves the creation of committees and the President solicits and appoints chairpersons. Standing Committees are: Programs, Membership and Nominating/Election, Treasury Review. Special purpose, optional committees include: Bees, Swaps, Charity Projects, Workshops, Shows, and Special Events.
Section a. Program Committee
- contacts and arranges meeting speakers
- maintains the yearly calendar of events
Section b. Membership
- collects membership dues
- transfers collected dues to treasurer
- creates and maintains electronic membership list
- distributes directory to membership
Section c. Web Master
- maintains an online presence.
- posts minutes, meeting news and relative information on a regular basis
- creates and maintains standards of appropriate conduct for the website and member privacy
Article 7 –Meetings
The CFMQG meets monthly, day and location determined by the Executive Board.
Article 8 –Amendment
Two-thirds of the members present at any regular meeting may amend the bylaws. The Secretary must receive a written proposal to amend the by-laws two weeks prior to the meeting. The Executive Board reviews the by-laws every year prior to the beginning of the fiscal year.
Article 9 –Dissolution
If the CFMQG disbands, the Treasurer disseminates all remaining funds to another educational, tax exempt organization, or a recognized charity. A majority vote of the members present at the final CFMQG meeting determines the recipient.
